A class action lawsuit has been commenced in Missouri Circuit Court on behalf of a proposed class of Ralcorp shareholders. The shareholder class action suit alleges that Ralcorp’s Board of Directors breached their fiduciary duty to shareholders concerning the unsolicited merger proposal by ConAgra. The Complaint alleges that Ralcorp failed to act in the best interest of shareholders by failing to engage in any discussions with ConAgra to discuss their $94 per share, all-cash proposal which was well above market value. After news was released that Ralcorp rejected ConAgra’s offer, shares of Ralcorp closed at almost $15.00 below ConAgra’s proposed purchase price.
